Whether the corporation is foreign or domestic, all companies, no matter the type of entity, seeking to do business with in the Commonwealth of Virginia, need a registered agent and a registered office.

Some examples of entity types are Limited Liability Companies (LLC), Stock Corporations (C Corporation or S Corporation) Non-Stock Corporations (most 503(C) entities) and General or Limited Partnerships.

A registered agent must be an officer or director of the corporation or a lawyer licensed to practice in Virginia. The sole duty of the registered agent is to forward to the corporation at its last known address any process, notice, or demand that is served on the registered agent.

When an entity is sued in Virginia, It has 21 days to file a responsive pleading. Failure to file a responsive pleading may lead to a default judgment.
